1. 条款接受

这些条款和条件（“条款”）构成您与 ZoneX 之间具有法律约束力的协议。ZoneX AG一家在瑞士注册的公司（以下简称“本公司”、“ZoneX”、“我们”或“我们的”）。访问或使用我们的网站、交易平台、终端软件或服务（统称为“服务”），即表示您同意受这些条款和我们隐私政策的约束。

If you do not agree to these Terms, you must not access or use the Services. Changes are governed by Section 24; continued use does not replace affirmative acceptance where express acceptance is required.

These Terms apply to free and paid ZoneX Services. Challenge participation is additionally governed by the Challenge Terms & Conditions, Challenge Rules and confirmed Challenge purchase configuration. Participation in the Funded Trader Programme is governed principally by the separately accepted Funded Trader Services Agreement, applicable Account Schedule and Funded Trader Rules. These Terms continue to apply to website, platform and other matters within their scope but do not replace the Funded Trader Services Agreement.

By clicking an acceptance, purchase, subscription or registration control, you electronically accept only the documents presented as applicable to that transaction. A Challenge purchase includes these Terms of Use, the Privacy Policy, Challenge Rules and Challenge Terms & Conditions. It does not constitute acceptance of the Funded Trader Services Agreement or Funded Trader Rules. ZoneX may retain the timestamp, account and document-version record of each acceptance. Electronic acceptance has the same legal effect as a handwritten signature under Swiss law.

Before a funded-stage Account Configuration is activated, an approved participant must separately accept the Funded Trader Services Agreement, populated Account Schedule and Funded Trader Rules. Challenge purchase acceptance does not cover those funded-stage documents.

• 教育资源: 交易信息和分析工具

3.2 无投资建议

我们不提供有关加密货币或任何其他资产的投资建议、财务建议或推荐。所有信息仅供参考和教育目的。您对自己的交易决策负全部责任。

3.3 客户资金与平台服务

ZoneX AG 不就其评估计划接收、持有或管理客户资金。评估费用是参与模拟评估环境的参与费,并非存款或投资。所有评估均在使用名义资金的模拟环境中进行。

成功完成评估后,符合条件的用户可根据适用的计划规则获得激励资格账户的使用权限。

Following successful completion of a Challenge, or through an Instant Funded Account, eligible participants may be admitted to a Funded Trader Arrangement in accordance with the applicable programme rules and Section 12.3.

此外,ZoneX AG 还单独提供一款独立的交易终端软件产品。交易终端用户通过 API 连接自己的交易所账户,并仅通过该账户进行交易。ZoneX AG 不持有客户资金,不代表用户执行交易,不运营客户的交易所账户,也不提供投资或经纪服务。用户对其交易所账户、交易活动及资产承担全部责任。

4. 资格和受限司法管辖区

访问和使用服务须遵守本节规定的资格条件。这些条件是作为 ZoneX 私人风险管理框架一部分实施的合同访问要求，并非监管合规义务。

4.1 被禁止的人员和司法管辖区

如果您属于以下情况，您不得访问、注册、购买挑战或以其他方式使用服务：

• 位于、居住在、通常居住在或注册于受限司法管辖区（定义见下文）；
• 代表或为了位于、居住在、通常居住在或注册于受限司法管辖区的任何个人或实体的利益行事；
• 受限司法管辖区的国民或公民，除非您永久居住在非受限司法管辖区并能证明合法身份；
• 代表或为了任何被禁止人员（定义见第 5 节）的利益行事。

4.2 受限司法管辖区

“受限司法管辖区”指以下国家、地区和区域：

4.4 年龄和能力

您必须年满18周岁，并拥有根据适用法律签订具有约束力合同的法律能力。使用我们的服务，即表示您声明并保证符合这些要求。

4.5 资格和访问控制

访问和使用ZoneX平台和服务须遵守ZoneX不时确定的资格要求、地理限制和基于风险的访问控制。

ZoneX可以根据位置、居住地、资格、风险考虑或合同禁止事项，包括通过使用自动化或技术措施，限制、暂停或拒绝访问网站、购买挑战赛或使用任何服务。

用户声明并保证其未位于、未居住于受限制或受制裁的司法管辖区，也未代表位于该地区的任何个人或实体行事，且不受国际制裁约束。

ZoneX没有义务披露做出访问决定的具体依据、逻辑或技术手段，并可在下单之前或之后的任何时间，在不事先通知的情况下执行此类限制。

任何用户均无权访问平台或购买挑战赛。当因资格、位置或风险考虑而限制或拒绝访问时，ZoneX可以取消或作废任何相关订单，并在不承担责任或提供服务义务的情况下拒绝访问。

5. 制裁和受禁人员

本节规定了与国际制裁相关的合同访问条件。这些条件是私人风险管理措施，不代表监管合规状态。

5.1 受禁人员的定义

如果您是“受禁人员”，即任何符合以下条件的自然人或法人实体，您则不得访问或使用本服务：

• 被美国（包括OFAC SDN、部门制裁和非SDN名单）、欧盟、瑞士国家经济事务秘书处（SECO）、英国（HM Treasury）或联合国安理会维护的任何制裁名单所列实体或人员拥有或控制，或被列入上述名单；
• 由一个或多个受制裁的个人或实体直接或间接拥有50%或以上股权
• 受任何受制裁个人或实体控制、代表行事或为其利益行事；
• 受限制司法管辖区的政府、政府机构或国有实体；
• 明知地为任何受制裁个人或实体的利益促成交易或提供服务。

5.2 筛选与控制

ZoneX 可能会依赖以下一项或多项措施来评估制裁风险，包括但不限于：

• 针对制裁名单自动筛选用户提供的信息；
• 用户在注册时和应要求提供的声明和陈述；
• IP 地址和地理位置分析；
• 设备指纹识别和行为指标；
• 支付渠道和交易监控；
• 第三方合规和筛选服务。

这些措施是私人风险管理控制。它们不构成身份验证、了解您的客户（KYC）程序或遵守任何监管框架。ZoneX 对制裁筛选的完整性或准确性不作任何陈述。

The use of cryptocurrency as a payment method does not prevent ZoneX from applying wallet, transaction or other risk controls where ZoneX considers them appropriate or where they are required in a particular case.

5.3 自主访问控制

ZoneX 可自行决定，恕不另行通知或承担责任，采取以下措施：

• 拒绝任何个人或实体的注册、挑战购买或访问；
• 暂停对服务的访问，待进一步审查；
• 终止账户和对服务的访问；
• 撤销挑战购买并扣留资金；
• 如适用法律要求或允许，请向相关主管部门报告可疑活动。

ZoneX 无需为此章节项下采取的任何行动说明理由。根据本章节善意采取的行动不应使 ZoneX 承担任何责任。

6. 用户声明与陈述

通过访问或使用服务，您向 ZoneX 声明并保证，自首次访问之日起及此后持续有效：

6.1 持续义务

如果本章节中的任何陈述不再真实、准确或完整，您必须立即书面通知 ZoneX，邮箱地址为 legal@zonex.pro。无论您是否继续使用服务，此通知义务均适用。

6.2 依赖

ZoneX 有权依赖本章节中规定的声明和保证，无需进行独立验证或调查。对于因依赖后来被认定为虚假或不准确的用户声明而产生的任何损失或损害，ZoneX 不承担责任。

7. 访问前筛选与控制

本章节描述了 ZoneX 实施的私人风险管理措施。这些措施并非身份验证、KYC 程序或符合任何监管框架的规定。

7.1 访问前及购买前筛选

ZoneX 可能会在授予访问权限之前或之后的任何时间执行自动化或手动筛选，包括但不限于：

• 使用商业数据库和公开信息进行制裁名单筛选；
• IP 地址地理定位和分析，包括 VPN 和代理使用检测；
• 设备指纹识别和行为分析；
• 支付通道限制和交易监控；
• 第三方风险评分和身份验证服务（用于风险评估，而非监管合规）。

7.2 关于身份验证的澄清

本章节所述的访问前筛选措施是 ZoneX 自主实施的风险管理控制。它们不构成：

• 反洗钱法规定义的了解您的客户 (KYC) 程序；
• 监管身份验证；
• 反洗钱合规程序；
• 符合任何受监管框架或监管要求。

7.3 拒绝与冻结访问

ZoneX有权在任何阶段冻结服务访问权限，包括：

• 在付款或注册被接受之前；
• 在收到付款但服务尚未交付之前；
• 在使用服务期间；
• 在挑战完成或通过之后。

根据本节冻结访问权限，ZoneX不承担任何责任，无论是否已支付费用。

8. 无服务权与终止

8.1 无访问或服务权

任何用户均无权访问服务、购买挑战、获得有资格获得激励的账户或继续使用平台。ZoneX根据其全权酌情决定提供服务，并可在不另行通知的情况下随时拒绝、限制、暂停或终止访问。

8.2 拒绝或终止的理由

在不限制第8.1节一般性的前提下，ZoneX可以拒绝提供服务、暂停账户、宣告挑战无效、终止访问或扣留资金，原因如下：

• 管理制裁风险或防止违反制裁措施；
• 作为一般风险管理和平台完整性措施的一部分；
• 防止规避访问控制或资格条件；
• 针对任何违反或涉嫌违反本条款的行为；
• 根据其全权酌情决定，出于任何原因或无理由，而无需提供解释。

8.3 因资格原因终止不予退款

9. 禁止规避

严禁用户规避或试图规避ZoneX实施的任何访问控制、资格条件或风险管理措施。

9.1 被禁止的方法

被禁止的规避方法包括但不限于：

• 使用虚拟私人网络（VPN）、代理服务器或匿名工具来伪装位置或身份；
• 提供关于居住地、国籍、身份或制裁状态的虚假、误导性或不完整信息；
• 使用第三方、代理人或代表被禁止人员访问服务；
• 创建多个账户以规避限制或禁令；
• 利用技术漏洞或平台缺陷来绕过访问控制。

9.2 重大违约

任何企图规避访问控制或资格条件的尝试均构成对本条款的重大违约。ZoneX可在不限制其他可用补救措施的情况下：

• 立即终止对服务的访问；
• 取消任何挑战、有资格获得激励的账户或绩效激励福利；
• 保留所有已支付的费用；
• 永久禁止用户访问平台；
• 在法律允许或要求的情况下，将此事报告给相关主管机关。

10. 风险分配与用户责任

10.1 用户合法使用责任

您全权负责确定您在居住地或所在地访问和使用服务是否合法。ZoneX不提供法律、监管或制裁建议，这些条款或平台上的任何内容均不构成此类建议。

10.2 无法律或监管建议

ZoneX不提供以下方面的建议：

• 任何制裁制度的适用性或解释；
• 在任何司法管辖区的税务处理或报告义务；
• 适用于任何司法管辖区用户的监管要求；
• 在任何司法管辖区内交易加密货币或进行交易的合法性。

用户在使用服务前应寻求独立的法律和专业建议。

10.3 赔偿

您同意赔偿、捍卫并使ZoneX AG及其董事、高级职员、雇员、代理人和关联公司免受因以下原因引起或与之相关的任何及所有索赔、损害、损失、责任、成本和费用（包括律师费）的损害：

• 您做出的任何虚假、不准确或误导性声明或陈述；
• 您违反了这些条款中的任何资格条件或禁令；
• 您违反任何适用制裁制度或从受限制的司法管辖区访问或使用服务；
• 任何试图规避访问控制或资格条件的行为；
• 任何第三方因您使用服务而提出的索赔。

11. 服务说明

我们提供：

• 多交易所交易终端软件,提供免费Basic版访问及可选付费功能。
• 可定制的单阶段模拟交易评估(“Challenge计划”)。
• 为符合所有资格条件的成功参与者提供具备激励资格的交易账户
• Instant Funded Accounts — direct admission to a Funded Trader Arrangement without a preliminary Challenge. The applicable trading environment may be simulated, use ZoneX-owned proprietary capital or use a combination determined by ZoneX. The participant does not own the funded account balance or ZoneX proprietary capital.
• Every Funded Trader Arrangement is additionally governed by the Funded Trader Rules, which are incorporated by reference into these Terms. Read the Funded Trader Rules

11.5 合作计划和X联营公司

ZoneX AG 可能会提供合作计划，并酌情不时授予某些经批准的 ZoneX 合作伙伴访问官方 X 联营公司状态（“X 联营公司”）的权限。合作计划和 X 联营公司状态是 ZoneX 自行酌情提供的可选福利，并非从 ZoneX 购买的任何服务的保证功能。

11.5.1 X Affiliate Status

X (前身为 Twitter) 联营公司状态专为那些 ZoneX 独立酌情认为能够持续专业地代表 ZoneX 并为 ZoneX 社区增值的 ZoneX 合作伙伴保留。X 联营公司状态不向公众开放，并非一种权利或应享福利，也不可购买。

11.5.2 酌情添加和移除

ZoneX 可随时基于任何原因或无原因，自行酌情添加或移除合作伙伴作为 X 联营公司，或更改任何 X 联营公司状态的范围。此类决定可能在不事先通知的情况下作出，且 ZoneX 无义务提供解释或退还为任何 ZoneX 服务支付的任何款项。

11.5.3 合作伙伴义务

获得 X 联营公司身份的合作伙伴必须继续遵守所有合作伙伴指南、内容指南、本条款以及任何其他适用政策。未能遵守此类义务可能导致立即移除 X 联营公司身份和/或暂停或终止合作伙伴账户。

11.5.4 无权获得 X 联营公司身份的合同权利

任何用户均无合同权利成为或保持 X (前身为 Twitter) 联营公司。持续使用任何 X (前身为 Twitter) 联营公司标识、徽章、追踪链接或相关工具完全取决于 ZoneX 的持续批准，并可能随时被撤销。

12. 交易和挑战计划

12.2 挑战计划 - 详细条款

挑战计划的性质：挑战计划是技能评估。通过支付挑战费用，您获得在特定条件下尝试展示交易熟练度的权利。这并非投资、存款，也不是未来收益的保证。

Challenge配置与评估

每个Challenge均为受其购买时所记录配置约束的单阶段模拟评估。在支持的配置限制范围内,可选择模拟初始账户余额、最大总回撤、最大单日亏损、盈利目标、最大杠杆及绩效分成比例。购买记录中还会记载是否包含可选的Pre-Violation Warning。

不存在第二个交易评估阶段,没有最低交易天数要求,亦无最长完成时限。一旦达到所选盈利目标且满足并核实所有适用的已公布Challenge要求,即可完成评估。

最大总回撤为固定值。Maximum Drawdown Floor根据初始账户余额及所选的最大回撤百分比计算得出。该值在整个Challenge期间保持固定,不会随盈利上升、随账户净值浮动或在每日重置时重新计算。

单日亏损管控为独立机制,采用Challenge Rules中规定的适用每日基准与计算方法。每日重置不会改变固定的Maximum Drawdown Floor。

不设最佳单日盈利上限,亦无须将Challenge盈利分摊至最低交易天数的要求。适用的风险限额、强制止损要求及禁止行为规则仍然有效。

所选的绩效分成比例涉及经批准的Challenge后安排。该比例并不使模拟Challenge盈利可提取,亦不保证提供账户、交易资本或付款。

Pre-Violation Warning为可选项目。它不会改变适用规则,亦不保证防范一切违规行为。未收到警示并不表示相关行为符合规定。

挑战费用:

• 所有挑战费用均**不予退还**，强制性瑞士消费者保护法另有规定除外
• 费用仅用于项目访问和评估服务
• 支付不保证通过或获得激励资格账户的批准
• 未通过Challenge本身并不使参与者有权获得现金退款或补偿。根据已公布的重试条件,符合条件的免费重试仍可使用,适用的退款权利不受影响。

挑战规则与评估:

完整的挑战规则发布在我们的 挑战规则页面 上，并通过引用纳入本条款。

• 您必须遵守为您所购买的Challenge记录的参数以及适用的已公布Challenge Rules。
• 适用要求包括单日亏损管控、固定的最大回撤、强制止损设置以及已公布的交易限制与禁止行为。
• 任何违反规则的行为都将导致挑战立即失败且不予退款
• 我们使用自动化系统和人工审核来监控合规性
• 除非适用法律禁止，我们对违规行为的认定是最终且具有约束力的

通过不保证获得激励资格账户:

Successfully completing a Challenge creates eligibility for a separate funded-stage review only. It does not automatically create a funded account, capital allocation, engagement, payment or Performance Remuneration. ZoneX separately reviews eligibility and Challenge integrity and may:

These checks are not a second trading evaluation phase. If ZoneX approves admission, the participant must accept the Funded Trader Services Agreement, applicable Account Schedule and Funded Trader Rules before the funded-stage Account Configuration is activated.

免费挑战重试

某些挑战包含一次性免费重试机会，即在评估期间，账户在任何时候达到至少5%的最高已实现盈利，即使账户随后因违反每日回撤或总回撤或任何其他规则而被终止。最高已实现盈利以已平仓、已成交的交易衡量，明确排除未实现盈利或包含未平仓头寸的权益高水位。每次挑战购买授予一次重试机会。免费重试不可转让，不具有现金价值，不可兑换现金，并且不适用于任何已使用折扣、优惠码或其他促销优惠的购买。

• 除非另有明确说明，促销活动仅限每人、每家庭、每种支付方式一次购买。
• 促销不能与其他任何折扣、优惠券或优惠合并使用。
• 资格、促销代码、折扣金额、级别可用性和到期日期以销售时显示为准，并可能随时更改、暂停或撤销，恕不另行通知。
• 促销期间的购买与全价购买一样不可退款。折扣无现金价值，不能转让、兑换或应用于未来的购买。
• 如果ZoneX AG有合理理由认为促销存在滥用、虚假陈述获取、多账户、使用VPN/代理或违反本条款的情况，ZoneX AG可以撤销促销、拒绝订单、终止账户或追回折扣金额（包括作为债务）。

订单接受和ZoneX取消时的退款

网站上展示挑战、订阅或其他产品是一种要约邀请，而非要约。您的订单构成购买要约，ZoneX AG可自行决定接受或拒绝。只有当账户已配置且评估凭证已发放给您时，才形成具有约束力的合同。ZoneX AG可以在其合理判断下拒绝或取消订单（包括付款后），如果：(i)您或您的付款未能通过制裁、欺诈、地理资格或支付认证筛选；(ii)订单重复、涉嫌滥用或违反促销条款；(iii)定价显示有误；(iv)供应或服务不可用；或(v)处理订单将违反适用法律。如果ZoneX AG因归因于ZoneX AG的原因或法律要求在挑战或订阅激活前取消订单，则该特定订单支付的费用将在14天内退还至原始支付方式。一旦挑战激活（评估凭证已发放）或订阅期开始，除强制性消费者保护法明确要求外，不予退款。

12.3 Funded Trader Programme — Separate Contractual Framework

Separate funded-stage relationship: Participation in the Funded Trader Programme is governed principally by the separately accepted Funded Trader Services Agreement, applicable Account Schedule and Funded Trader Rules. These Terms continue to apply to website, platform and other matters within their scope but do not replace the Funded Trader Services Agreement.

Both the post-Challenge route and the Instant Funded route use the same Funded Trader Services Agreement. Passing or purchase does not itself activate an Account Configuration.

The Account Schedule records expressly stated account-specific commercial terms. The Funded Trader Rules govern the published funded-stage operating and trading rules.

Trading Environment and ZoneX Capital

The funded-stage Trading Environment may be simulated or, where ZoneX separately elects, may involve ZoneX-owned proprietary capital.

The participant does not own or control any underlying capital, account, asset, position or proceeds.

Trader’s Role

The participant provides Trader Services under the funded-stage documents and is not promised or allocated proprietary capital merely by admission.

Performance-Based Remuneration

Performance Remuneration is a contractual payment for Qualifying Performance under the funded-stage documents. It is not a withdrawal of participant-owned simulated profits or a customer balance.

The applicable percentage and payment cycle are recorded in the Account Schedule. Eligibility and payment conditions are governed by the funded-stage documents.

Purchase Fees

Any fee charged for an Instant Funded Account is consideration for access to the applicable ZoneX software, trading environment, Funded Trader programme and related services. The fee is not a deposit, investment, stake, margin payment, collateral, trading capital or customer money and is not placed at market risk on behalf of the participant.

Subject to mandatory law and the applicable Refund Policy, a participant does not acquire a right to repayment of the service fee merely because the participant stops trading, breaches the applicable rules, fails to qualify for a payout or receives no performance-based remuneration.

Cryptocurrency Payments and Payouts

Service fees may be paid using supported fiat or cryptocurrency payment methods. Where cryptocurrency is transferred to ZoneX as payment for a ZoneX service, it is received by ZoneX for its own account as consideration for that service. It is not held in custody for the participant, credited as participant trading capital or maintained as a participant-owned balance.

Where permitted by the applicable payout terms, ZoneX may discharge its own performance-remuneration obligation using supported fiat currency or cryptocurrency. Any cryptocurrency used for that purpose belongs to, or is acquired for the account of, ZoneX until transferred in satisfaction of ZoneX’s obligation. The payout structure does not create a participant-owned crypto balance held by ZoneX for subsequent conversion or transmission.

No Guarantee

Challenge completion or Instant Funded purchase does not guarantee admission, activation, proprietary-capital deployment or Performance Remuneration.

Funded-stage formation, commercial terms, trading rules and Performance Remuneration are governed by the funded-stage documents, not by these Terms alone.

12.4 第三方加密货币交易所

12.5 交易所API使用与用户责任

Challenge participants do not provide personal exchange API keys. Challenge trading is simulated using supported exchange market data. Any approved funded-stage Account Configuration is governed by the separately accepted Funded Trader Services Agreement, Account Schedule and Funded Trader Rules.

12A. Funded Trader Payouts, Achievements and Publicity

By participating in any ZoneX Challenge, evaluation, or Funded Trader Arrangement (whether operating in a simulated environment or using ZoneX-owned proprietary capital) made available by ZoneX, the User acknowledges and agrees that ZoneX may publicise successful trader payouts and trading achievements for marketing, promotional, educational, informational and commercial purposes.

“Trader Payout(交易者付款)”指根据经批准的享有激励资格交易安排向交易者支付的与业绩挂钩的款项。其不包括模拟Challenge余额或盈利、免费重试、通过个人交易所账户独立产生的盈利,或以独立身份作为ZoneX Partner所赚取的佣金。

ZoneX may publish anonymised or aggregated Trader Payout and trading-achievement results (not identifying the User) for marketing, promotional, educational, informational and commercial purposes without further consent. Publicising identifiable information about a User’s Trader Payout or trading achievement requires the User’s separate, explicit, voluntary consent. Where such consent is given, the User authorises ZoneX AG, its affiliates, successors, assigns, contractors and service providers ("ZoneX") to publish, display, reproduce, advertise, promote and otherwise use the approved information, which may include:

• (a) the User’s public name, professional name, username, trading alias or screen name;
• (b) the User’s social-media handle;
• (c) the User’s profile image or avatar;
• (d) the relevant Challenge, evaluation, or Funded Trader Arrangement configuration or size;
• (e) the amount of any Trader Payout;
• (f) the date of the Trader Payout;
• (g) the User’s relevant trading achievement, milestone or leaderboard position;
• (h) payout confirmations, certificates, dashboard information or screenshots evidencing or relating to the Trader Payout or achievement; and
• (i) other non-sensitive information reasonably necessary to describe or demonstrate the Trader Payout or trading achievement.

ZoneX may use such information worldwide on the ZoneX website, ZoneX platform, social-media accounts, communities, advertisements, promotional campaigns, presentations, newsletters, emails, press communications, videos and any other existing or future media, advertising, marketing or communication channel.

ZoneX may reproduce, publish, repost, display, distribute, communicate, format, crop, edit, caption, resize, combine and otherwise adapt such information and materials in such manner and format as ZoneX determines appropriate for the foregoing purposes, provided that ZoneX shall not materially misrepresent the amount or nature of the User’s actual Trader Payout or trading achievement.

Consent given under this Section is voluntary and may be withdrawn at any time for future use by written notice to legal@zonex.pro. Withdrawal does not affect materials already lawfully published in accordance with a valid consent prior to withdrawal, and does not require removal of such materials. No royalty, fee or additional compensation is payable to the User for an authorised use under this Section.

The User acknowledges that publicity relating to Trader Payouts and trading achievements may remain publicly available after the User ceases using ZoneX or terminates the User’s account. The rights granted under this Section shall therefore survive termination or expiration of the User’s relationship with ZoneX with respect to Trader Payouts and achievements occurring during the User’s participation in ZoneX.

This Section applies to every User who participates in a ZoneX Funded Trader Arrangement and receives a Trader Payout, regardless of whether the User is also a ZoneX Partner or affiliate, whether the trading environment is simulated or uses ZoneX-owned proprietary capital, the type or size of Challenge completed or Instant Funded Account purchased, the size of the funded account, the amount of the Trader Payout, the payment method used, or the particular ZoneX programme through which the remuneration was earned.

ZoneX will not publish sensitive authentication information, identity-verification or identity documents, identity-document numbers, wallet private keys, passwords, complete payment credentials, residential addresses, or any other information that is not reasonably necessary to publicise a Trader Payout or trading achievement.

This Section governs only ZoneX’s ability to publicise a Trader Payout or achievement. It does not create or expand any entitlement to a payout, does not guarantee that any User will receive a payout, and does not override the Challenge Rules, payout verification requirements, identity verification and sanctions screening requirements, fraud or prohibited-trading provisions, or ZoneX’s rights concerning invalid or disqualified trading activity.

User-Generated Payout and Achievement Content

Where a User publishes, posts, streams or otherwise makes publicly available content specifically concerning or depicting the User’s ZoneX Trader Payout, funded account, ZoneX trading achievement or participation in a ZoneX trading program ("Trader Content"), the User grants ZoneX a worldwide, perpetual, irrevocable, non-exclusive, transferable, sublicensable, royalty-free and fully paid-up licence to use, reproduce, publish, repost, display, distribute, communicate, broadcast, edit, crop, excerpt, adapt, reformat, combine with other materials, create derivative works from, and otherwise use such Trader Content for ZoneX advertising, marketing, promotional, educational, informational and commercial purposes. This licence is in addition to, and does not limit or replace, any broader licence already granted to ZoneX elsewhere in these Terms.

Trader Content includes relevant content published through YouTube, Twitch, Kick, X, Telegram, Facebook, Instagram, TikTok, Discord, websites, blogs, podcasts, forums, newsletters and any other existing or future media, social-media platform or communication channel.

ZoneX may use Trader Content together with the User’s public name, professional name, username, trading alias, social-media handle, profile image, likeness, voice or other publicly associated identifier appearing in or associated with the Trader Content.

ZoneX may use Trader Content, in whole or in part, in such manner, format and context as ZoneX determines appropriate for the purposes permitted by this Section. No further consent, approval, notice, royalty, fee or additional compensation shall be required for any authorised use under this Section.

The User represents and warrants that the User possesses all rights necessary to grant the foregoing rights with respect to Trader Content created or controlled by the User. The rights granted under this Section shall survive termination or expiration of the User’s relationship with ZoneX.

No Representation of Typical Results

The User acknowledges that ZoneX’s publication of any Trader Payout, trading achievement, testimonial, leaderboard result, funded account result or other example of trader success does not constitute a representation, warranty or guarantee that any other User will achieve the same or similar results.

Trading results are individual and may vary materially. Trading involves risk, and examples of successful Trader Payouts, funded traders or trading achievements shall not be interpreted as representations of typical, expected or guaranteed performance, profitability or future results.

ZoneX may accompany any publication concerning Trader Payouts, funded traders or trading achievements with such disclaimers, disclosures or explanatory information as ZoneX considers appropriate for legal, regulatory, advertising, consumer-protection or other purposes.

Verification and sanctions-screening requirements for a funded-stage Account Configuration are set out in the funded-stage documents. Full identity verification and identity-based sanctions screening must be completed no later than before the first Performance Remuneration payment unless earlier checks are required.

Full identity verification and identity-based sanctions screening must be completed no later than before the first Performance Remuneration payment, unless earlier checks are required by law, sanctions restrictions, fraud or compliance concerns, or a relevant third party. Ordinary simulated funded-stage activity does not automatically require full KYC before activation.

14. 费用和支付

免费的ZoneX Terminal访问权限并不豁免第三方交易所收取的交易手续费、资金费用或其他费用。

14.2 支付处理

支付通过安全的第三方支付处理器进行。我们不存储您的支付卡信息。您授权我们向您的支付方式收取所有产生的费用。

Cryptocurrency transferred directly to ZoneX as payment for a Service is received by ZoneX for its own account as consideration for that Service. It is not accepted as investment or trading capital, held in custody for the user or maintained as a user-owned crypto balance.

14.3 退款政策

An Instant Funded Account service fee is consideration for access to the applicable ZoneX software, trading environment and Funded Trader programme. It is not trading capital, invested capital or an amount recoverable from trading results, and it is not repaid out of performance-based remuneration.

付费Terminal功能及其他付费产品受购买前披露的价格、服务期限及计费方式约束。以下有关定期订阅的条款仅适用于用户明确购买具有定期计费的产品的情形。免费的ZoneX Terminal访问权限并非付费订阅。

• 自动续订:若您明确购买具有定期计费的产品,该产品将在购买时披露的每个计费周期结束时,按当时的现行价格,向您预留的付款方式自动收费续订,直至您取消为止。购买此类产品即表示您明确授权该定期收费。未按定期方式销售的产品以及免费的ZoneX Terminal访问权限不会续订,亦不会产生收费。
• 取消:您可随时通过账户设置或发送电子邮件至contact@zonex.pro取消付费定期产品。取消将于当时付费计费周期结束时生效;在此之前,您将继续保留对该付费功能的访问权限。取消付费功能不会关闭您的ZoneX账户,不会移除免费的ZoneX Terminal访问权限,亦不会终止另行购买的Challenge。除强制性消费者保护法律要求或本条款另有明确规定外,已支付期间中未使用部分不予按比例退款。
• 免费ZoneX Terminal:Basic版访问无需订阅费用即可提供。它并非一项到期后会自动转为付费方案的七天试用。付费功能需另行明确授权购买。免费访问权限仍须遵守本条款以及适用的资格、行为规范及安全要求。
• 价格变动:我们可能不时更改定期付费产品的价格。价格变动将在我们通过电子邮件或账户内通知提前至少三十(30)日发出通知后,于您的下一个续订周期生效。若您不接受新价格,可在续订日期前取消;续订日期后继续使用即视为接受新价格。价格变动通知不会导致免费的ZoneX Terminal访问权限产生费用。
• 升级与降级:如付费产品分层级提供,升级、降级及按比例计费的机制以该产品在销售时所披露的内容为准。付费功能的变更不会改变另行购买的Challenge或已有的已购权益。
• 付款失败与催缴:如存在实际付款义务且续订付款失败,我们可能重试收费、通过电子邮件通知您,并暂停对相关付费功能的访问,直至收到付款为止。若付款在十四(14)日后仍未支付,我们可终止该付费功能,并可在适用情况下将未付金额作为您欠付ZoneX AG的债务处理。免费的ZoneX Terminal访问权限不产生任何付款义务,亦不会形成订阅债务。

14c. 消费者的撤回权和即时数字履行豁免

居住在欧盟、欧洲经济区、英国或瑞士的消费者，在某些情况下，可能享有在合同签订后十四（14）天内无理由撤回远程合同的法定权利，前提是当地法律有此规定（瑞士法律目前不授予远程合同的一般撤回权，因此本条款主要适用于欧盟/欧洲经济区/英国消费者）。

拒付和付款撤销

如果您对某笔费用有异议，您同意在向您的发卡机构或银行发起拒付或付款撤销之前，通过 contact@zonex.pro 联系ZoneX AG，以便我们审查此事。正当拒付不会自动被视为欺诈或重大违约。不过，对根据本条款正当收取的费用发起拒付，如相关争议被认定不正当，可能导致：(i)立即暂停或终止您的账户，并没收任何相关的挑战、注资账户；(ii)ZoneX AG追回争议金额以及任何拒付费用、行政费用和合理的法律费用作为债务；(iii)未来购买时，阻止使用该支付方式和相关的个人数据；以及(iv)在法律允许的情况下，转介至欺诈数据库和支付网络争议记录。合法争议将根据本条款的投诉程序和争议解决规定，本着诚信原则解决。 任何正当赚取的Performance Remuneration的存在、扣留或取消均受Funded Trader Services Agreement约束，包括其§§11.7–11.8。发起拒付不会自动消灭正当赚取的Performance Remuneration。有效的合同项下欺诈或滥用认定，或法律禁止，可依该协议采取措施。其他所有拒付后果仍须遵守适用法律。

15. 知识产权

通过我们服务提供的所有内容、软件、商标、标识及资料均为ZoneX或我方许可方的专有财产,受瑞士及国际知识产权法保护。您获授以下权利:(i) 在适用服务权益范围内,就个人使用免费ZoneX Terminal、已购买的Terminal功能及Challenge而获得的有限、非独占、不可转让的个人使用许可;(ii) 针对企业及Institutional客户,获得有限、非独占、不可转让的内部业务使用许可;以及 (iii) 在适用情况下,根据您所购买的方案及API文档获得API访问权限。对我方服务的转售、再许可、白标化及其他第三方商业化行为,均须与ZoneX另行签订书面协议。

未经我们明确书面许可，您不得复制、修改、分发、销售或逆向工程我们服务的任何部分。

16. 禁止活动

您同意不：

• 未经我方书面批准,不得使用任何自动化系统、机器人或交易算法,但ZoneX在Services内明确提供并启用的自动化功能除外。
• 从事市场操纵、抢先交易或其他滥用性交易行为
• 创建多个账户以规避我们的规则或获取不公平优势
• 共享账户凭据或允许他人代表您进行交易
• 试图未经授权访问我们的系统或其他用户账户
• 将我们的服务用于洗钱、恐怖主义融资、规避制裁或其他非法活动
• 复制、分发或商业化我们的专有软件或内容
• 干扰我们服务的正常运行
• 违反任何适用的法律、法规或第三方权利
• 规避或试图规避任何访问控制或资格条件

17. 数据保护与隐私

我们根据《瑞士联邦数据保护法》(FADP) 和我们的隐私政策处理您的个人数据。使用我们的服务即表示您同意我们按照隐私政策的规定收集、处理和存储您的个人数据。

我们实施适当的技术和组织措施以保护您的数据，但无法保证绝对安全。您承认通过互联网传输数据存在固有的风险。

账户关闭后的数据保留

当您的账户关闭、终止或变为不活跃状态时，ZoneX AG仅在为收集目的所需、以及遵守法律、监管、税务、会计、争议解决和反欺诈义务所需的期限内保留您的个人数据。指示性保留期为：(i)账户、交易和账单记录 — 账户关闭后最长十年，符合瑞士《债务法典》第958f条和等效的税务保留规定；(ii)已执行KYC的KYC和制裁筛选记录 — 最后一次验证或交易后最长十年，符合反洗钱标准；(iii)支持和通信记录 — 最后一次互动后最长三年；(iv)营销偏好和取消订阅记录 — 直到您反对或在履行您的选择所需的期限内；(v)为建立、行使或辩护法律索赔而持有的记录 — 直到适用的时效期届满。在适用的保留期结束后，个人数据将被删除或不可逆地匿名化。包括您的访问、更正、删除、限制、可移植和反对权利在内的完整详细信息，请参见隐私政策.

18. AI 支持聊天免责声明

ZoneX AI 支持聊天仅为方便用户而提供，旨在回答有关 ZoneX 平台、挑战赛和相关服务的一般问题并提供信息指导。

AI 支持聊天仅是一个自动化信息工具。它不是挑战赛规则、挑战赛使用条款或任何其他 ZoneX 协议或政策的官方来源，其答复不构成法律、财务、投资、税务、监管或专业建议。

AI 生成的答复可能不完整、不准确、模糊或过时。ZoneX 对 AI 支持聊天提供的任何信息的准确性、完整性、可靠性、可用性或适用性不作任何明示或暗示的陈述或保证。

AI 支持聊天无权解释、修改、补充、放弃、推翻、设定例外或以其他方式修订任何挑战赛规则、挑战赛使用条款、支付条件、资格要求、政策或其他合同条款。AI 支持聊天生成的任何答复均不应为 ZoneX 创造任何合同权利、资格、期望、陈述、保证或义务。

禁止依赖。通过使用 AI 支持聊天，您承认并同意，您不应将 AI 支持聊天生成的任何答复作为确定您的权利、义务、资格、合规性、支付、账户状态或与 ZoneX 挑战赛或与 ZoneX 的任何协议相关的任何其他事项的依据。只有适用的挑战赛规则、挑战赛使用条款和其他 ZoneX 官方文件才管辖此类事项。

如AI Support Chat所提供信息与官方Challenge Rules、Challenge Terms & Conditions或任何其他官方ZoneX协议或政策之间存在任何冲突、不一致、遗漏、含糊或差异,官方ZoneX文件在所有方面均具有优先效力,并为最终且具有约束力的依据。

用户全权负责在依赖与挑战赛或其账户相关的任何信息之前，审查并遵守适用的挑战赛规则、挑战赛使用条款和所有其他管辖协议。如果需要澄清任何规则、资格要求或挑战赛条件，用户应通过其官方支持渠道直接联系 ZoneX。

在适用法律允许的最大范围内，ZoneX 不对因使用、无法使用或依赖 AI 支持聊天提供的任何信息而产生或与之相关的任何直接、间接、附带、后果性、特殊、惩戒性、惩罚性或其他损失、损害、成本、索赔、费用或责任承担责任，包括该信息不准确、不完整、不一致或过时的情况。

ZoneX 保留随时修改、暂停、限制或终止 AI 支持聊天，或更改其功能、能力或答复的权利，恕不另行通知。

19. 免责声明和责任限制

19.1 服务免责声明

我们的服务是“按现状”和“按可用状态”提供的，不附带任何明示或暗示的保证。我们不提供任何保证，包括但不限于适销性、特定用途适用性和非侵权担保。我们不保证我们的服务将不间断、无错误或安全。

19.2 责任限制

在瑞士法律允许的最大范围内，对于因您使用我们的服务而产生的任何间接的、附带的、特殊的、后果性的或惩罚性的损害，包括利润、数据或交易机会的损失，我们概不负责。

我们对您的总责任不应超过在引发责任事件发生前的12个月内您向我们支付的费用金额。

19.3 交易损失、停机和第三方执行

Where a Funded Trader Arrangement uses actual ZoneX proprietary capital, ZoneX owns the relevant account and assets and bears the economic market gain or loss. The trader remains responsible for complying with ZoneX trading and risk rules and may lose eligibility for performance-based remuneration or continued programme participation as provided in these Terms. The execution environment for a Funded Trader Arrangement is governed by Section 12.3 and any applicable funded-trader product rules.

19.4 强制性消费者权利

本条款中的任何内容均不排除或限制我们对死亡、人身伤害、欺诈或根据瑞士法律不能排除或限制的任何其他责任。

20. 赔偿

您同意赔偿 ZoneX AG 及其董事、高级职员、员工和代理人，并使其免受因您使用我们的服务、违反本条款、违反资格条件、虚假声明或侵犯任何第三方权利而产生的任何索赔、损害、损失、责任和费用（包括法律费用）。

21. 终止

21.1 由您终止

您可以通过联系我们的支持团队随时终止您的账户。终止不代表您有权获得未使用服务或费用的退款。

21.2 由我们终止

我们保留立即暂停或终止您访问我们服务的权利，无需事先通知，原因包括但不限于违反本条款、资格问题、制裁风险或欺诈、滥用或非法活动。我们也可以在合理的通知期后终止不活跃的账户。

21.3 终止的效力

终止后，您使用服务的权利立即终止。本条款中性质上应在终止后继续有效的规定仍将有效，包括知识产权、责任限制、赔偿义务和争议解决条款。

22. 争议解决

22.1 非正式解决

在启动正式程序之前，您同意联系我们以尝试非正式解决争议。请将书面通知发送至我们的支持邮箱，描述争议及您建议的解决方案。

在启动任何正式程序之前，您必须通过我们的书面投诉程序提交您的投诉，该程序规定了ZoneX AG如何在限定时间内接收、调查和解决投诉： 投诉程序.

22.2 管辖法律

本条款应受瑞士实体法管辖并按其解释，但不包括其冲突法规定和《联合国国际货物销售合同公约》(CISG)。

22.3 管辖权和地点

因本条款或我们的服务引起或与之相关的任何争议应受瑞士楚格州主管法院的专属管辖，并可向瑞士联邦最高法院上诉。但是，我们可以在任何有管辖权的法院寻求禁令救济以保护我们的知识产权。

22.4 消费者权利

25. 条款修订

ZoneX may make non-material or administrative changes to these Terms under the applicable notice provisions and may make immediate changes where reasonably required for law, sanctions, fraud prevention, security or material platform integrity.

Material economic changes to an existing funded-stage Account Configuration are governed by the funded-stage documents and apply prospectively. Where express acceptance is required, continued use alone does not replace affirmative electronic acceptance. No amendment retrospectively cancels properly earned Performance Remuneration.
